Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and payrecoll ("we", "us", "our") governing your access to and use of the payrecoll platform, website, and related services (the "Service").

By creating an account, clicking "Start free trial", or otherwise accessing the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that entity.

2. Service Description

payrecoll is an automated dunning and payment recovery platform for SaaS businesses. The Service connects to your Stripe account via Stripe Connect OAuth and enables you to send automated email and SMS communications to your customers when their payments fail.

We do not guarantee any specific recovery rate or revenue outcome. Published benchmarks (e.g., "35-45%") represent averages and are not guarantees of individual results. You retain full responsibility for communications sent to your customers through the Service.

3. Accounts and Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to use the Service
• One account per individual or business entity
• You are responsible for all activity under your account

By connecting your Stripe account, you authorize payrecoll to receive webhook notifications and read relevant payment data. You may revoke this connection at any time through your Stripe dashboard or payrecoll settings.

4. Billing and Cancellation

Free Trial. New accounts receive a 14-day free trial. No credit card required.

Paid Plans.

• Starter - $19/month, up to 1,000 invoices
• Pro - $79/month (coming soon), up to 10,000 invoices

All fees are in USD and exclude applicable taxes. Plans are billed monthly in advance.

Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds for partial months.

Price Changes. We will provide at least 30 days notice of pricing changes via email.

5. Acceptable Use

You must not use the Service to:

• Send spam or unsolicited messages
• Contact individuals who have opted out of your communications
• Violate any applicable law (CAN-SPAM, GDPR, CCPA, TCPA, etc.)
• Send false, misleading, threatening, or harassing content
• Attempt unauthorized access to the Service or other accounts
• Reverse engineer or decompile any part of the Service
• Build a competing product using the Service
• Circumvent usage limits or billing

You are responsible for ensuring all communications sent through the Service comply with laws applicable to you and your recipients, including obtaining required consents for SMS.

6. Intellectual Property

The Service, including all software, design, and content, is owned by payrecoll. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription.

You retain all rights to content you provide (business name, logo, message templates). By providing such content, you grant us a limited license to use it solely to operate the Service.

7. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

We do not warrant that the Service will be uninterrupted, error-free, or achieve any particular recovery outcome.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, OR DATA.

Some jurisdictions do not allow these limitations, so they may not fully apply to you.

8. Termination

By You: Cancel your subscription at any time through settings or by contacting robert.sinski@outlook.com.

By Us: We may suspend or terminate your account if you breach these Terms, if required by law, or if we discontinue the Service.

Upon termination, all active dunning sequences are disabled and your data may be deleted after a reasonable retention period, except where retention is required by law.

9. Governing Law

These Terms are governed by the laws of the European Union and the Republic of Poland. Any disputes shall be resolved in the competent courts of Poland.

If you are in the EU, you may also have rights under applicable consumer protection laws that cannot be waived by contract.

10. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance.
